Terms & Conditions

1. Acceptance of Terms

By creating an account or using QuickieTrade ("the Platform"), you ("User") agree to be legally bound by these Terms and Conditions ("Terms") in their entirety. If you do not agree, you must not use the Platform. These Terms constitute a binding legal contract between you and QuickieTrade Inc.

2. Platform Role — Marketplace Only

QuickieTrade is a marketplace platform only. QuickieTrade does not employ tradesmen, does not supervise work, and is not a party to any service agreement between customers and tradesmen. QuickieTrade acts solely as a technology intermediary to connect independent contractors ("Tradesmen") with customers ("Customers").

• QuickieTrade does not guarantee the quality, safety, legality, or outcome of any work performed.
• QuickieTrade does not screen, license, verify, or certify any Tradesman.
• All service agreements are solely between the Customer and the Tradesman.

3. Limitation of Liability — Personal Injury & Property Damage

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QUICKIETRADE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any personal injury, bodily harm, death, or illness arising from or related to services performed through the Platform;
• Any damage to, destruction of, or loss of real or personal property resulting from work performed by a Tradesman;
• Any consequential, incidental, indirect, special, or punitive damages of any kind;
• Any loss of profits, revenue, data, or business opportunity;
• Any actions or omissions of any Tradesman or Customer.

You use this Platform and engage service providers entirely at your own risk. QuickieTrade's maximum aggregate liability shall not exceed the platform fees paid by you in the six (6) months preceding the claim.

4. Payment Obligations — Customers

By posting a job and accepting a Tradesman's service, Customers agree to the following binding payment obligations:

• You are legally obligated to pay the full agreed amount upon completion of the job, including the applicable 2% platform fee.
• Failure or refusal to pay a Tradesman for services rendered constitutes a breach of contract and may expose you to civil legal action including but not limited to small claims court, debt collection, and legal fees.
• QuickieTrade reserves the right to suspend or permanently ban any Customer who fails to pay a Tradesman.
• Disputed amounts must be reported within 48 hours of job completion through the Platform's dispute resolution process.
• Cash payments require dual confirmation from both parties within the Platform. Unconfirmed cash payments are considered unpaid.

5. Tradesman Rights & Payment Protections

QuickieTrade is committed to protecting Tradesmen's right to fair compensation:

• Tradesmen have the right to pursue legal remedies for non-payment, including filing claims in civil or small claims court.
• QuickieTrade may share relevant transaction records with legal authorities or courts upon lawful request.
• Hourly rates are determined by the Platform's rating-based pay scale and cannot be negotiated below that rate.
• Tradesmen must accurately represent their qualifications, experience, and ability to perform the work.
• Tradesmen are independent contractors, not employees of QuickieTrade, and are responsible for their own taxes, licenses, and insurance.

6. Tradesman Responsibilities & Warranties

• Tradesmen warrant that they hold all required licenses, certifications, and permits required by applicable law.
• Tradesmen are solely responsible for carrying adequate liability insurance and workers' compensation coverage.
• Tradesmen assume full professional and legal responsibility for all work performed.
• Tradesmen must not misrepresent their skills, ratings, or prior work history.

7. Customer Responsibilities

• Customers must provide accurate job descriptions and safe working conditions.
• Customers are responsible for securing permits required for the work, unless otherwise agreed in writing.
• Customers must not attempt to book Tradesmen off-platform to circumvent fees.
• Customers agree not to harass, threaten, or discriminate against any Tradesman.

8. Platform Fees

QuickieTrade charges a 2% platform fee on every completed job. This fee is non-refundable unless QuickieTrade cancels the job due to platform error. By using the Platform, both parties agree to this fee structure.

9. Dispute Resolution

Any disputes arising out of or relating to these Terms shall be resolved through binding arbitration administered in accordance with the American Arbitration Association rules, unless both parties mutually agree to another resolution method. You waive your right to a jury trial. Class action lawsuits against QuickieTrade are expressly prohibited.

10. Prohibited Conduct

• Using the Platform for fraudulent, illegal, or deceptive purposes;
• Posting false reviews or manipulating the rating system;
• Harassing, threatening, or engaging in hate speech toward other users;
• Attempting to circumvent the platform fee system;
• Sharing another user's personal information without consent.

Violations may result in immediate account termination and potential legal action.

11. Privacy

Your use of the Platform is also governed by our Privacy Policy. By accepting these Terms, you consent to the collection, use, and sharing of your information as described therein, including sharing relevant transaction data in legal proceedings.

12. Indemnification

You agree to indemnify, defend, and hold harmless QuickieTrade, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, or any work performed or commissioned through the Platform.

13. Modifications

QuickieTrade reserves the right to modify these Terms at any time. Continued use of the Platform after notice of changes constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

15. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and QuickieTrade with respect to the Platform and supersede all prior agreements and understandings.
